You can use Nox to accomplish just about any goal or simply for fun.

You can create a pact to hold yourself and others accountable.

Examples include:

  • - Building or breaking habits: Enter a pact where you upload periodic evidence of doing something daily, like running 5 kilometers, or avoiding something, like cigarettes.

  • - Achieving big outcomes: For goals with deadlines, like moving to New York by year’s end, upload evidence by the deadline to prove success.

  • - For fun: Get creative! One user made a pact where if their friend convinced a girl to hold his hand by the semester’s end, they’d shave their head.

    You can even use Nox to enforce bachelor party commitments.

You start by selecting a goal and deciding whether it’s a solo pact, where only you are responsible for completing the goal, or a group pact, where multiple people are involved.

In group pacts, you can choose different game modes—either collaborating, where everyone works towards the same goal, or competing, where you’re trying to outperform each other for a prize.

Every pact requires you to stake money or something else that you’ll lose if you fail.

You also define the type of evidence you’ll provide and how often you’ll submit it.

All these rules create an ironclad contract that keeps you and your friends honest and accountable.

You appoint a friend or trusted third party as the verifier.

They’ll check if your evidence meets the pact's terms.

Verifiers can receive a percentage of the monetary stake as a tip for their role in the pact.

If you can’t find a verifier, Abhilaksh or Prabhakar can step in as your verifiers.

Simply nominate either of us—we’re automatically added to everyone’s Nox friends list.

Pretty soon, AI will be available for verification, but for now, we require you to involve at least one other person for better accountability.

We currently accept video, photo, or audio evidence.

You can define what’s required based on the challenge.

We've defined "bond" as a type of proof, where you follow the honor code and provide written confirmation that you've kept your word so far.

For example, if you've to check in with your verifier daily about a non-smoking pact, you will provide your word as "bond" in a text field, and the verifier will approve/deny it.

In a competitive pact, it goes to the winner of the pact you're in—the one who outperformed everyone else by meeting more deadlines or finishing the task before everybody else.

In any other kind of pact, Nox takes your money.

Yes! You can stake non-monetary stakes like slaps, head shaves, or any creative consequences.

While quantifiable stakes help, we leave the definition up to you.

Yes, you can track your progress, but pact terms can’t be changed once the pact is active.

There’s a 48-hour pre-launch period where you can modify terms, provided all participants agree.

Yes, you can resign from a pact, but doing so will require you to forfeit the stake (money or something else) you fronted to be part of that pact.

PARTICIPATION, PERFORMANCE, AND OUTCOMES ARE DETERMINED SOLELY BY THE PARTICIPANT’S PERSONAL EFFORT, CONSISTENCY, DISCIPLINE, AND ADHERENCE TO THE RULES OF EACH PACT, AS VERIFIED THROUGH A PEER-REVIEW OR AI-REVIEW MECHANISM. THE STRUCTURE OF PACTS AND THE DISTRIBUTION OF ANY POTENTIAL REWARDS OR FORFEITED NOX POINTS ARE BASED ENTIRELY ON MEASURABLE, VERIFIABLE PERFORMANCE AND DO NOT RELY IN ANY MANNER ON RANDOM CHANCE, LUCK, OR PROBABILITY. The Platform is owned and operated by M/s Mowgli Brothers Studios Private Limited (“Company”). By registering on and using the Services of the Platform, you (“Participant”, “You”, “Your”) agree to comply with and be bound by these Terms. If You do not agree with these Terms, You are advised to discontinue using this Platform immediately.
These Terms, Privacy Policy, Cookie Policy, KYC Policy, Cancellation and Refund Policy and rules governing the individual Pacts offered by the Platform (collectively referred to as “Platform Policies”) form a binding legal agreement between You and the Company, basis which You may visit, access or use the Platform and its services (“Services”). You agree that by accessing the Platform, You have read, understood, and agree to be bound by all of these Terms and Conditions and all other Platform Policies in relation to any services provided via the Platform. If You do not agree with all of these Terms and Conditions, You are expressly prohibited from using the Platform and You must discontinue the use of the same immediately.
Supplemental rules or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We shall notify about any significant changes in these Terms and Conditions.
For the avoidance of doubt it is being clarified that “applicable laws” means all applicable statutes, enactments, laws, ordinances, treaties, conventions, protocols, bye-laws, rules, regulations, guidelines, notifications, notices, and/ or judgments, decrees, injunctions, writs or orders, instructions, decisions of any court or and awards or other requirements or official directives of any governmental authority, in any jurisdiction, as may be applicable to the relevant person within the territory of India.Meanings of certain terms used in these Terms are clarified below:
- A “User” is any individual who has created an account on the Platform.
- A “Participant” is a User who is involved in a Pact in a non-Verifier capacity. This includes, but is not limited to
(i) individuals uploading proof and holding themselves accountable in Solo, Winner-Takes-All, or Mutually Assured Destruction (MAD) Pacts;
(ii) Defenders and Challengers in Challenge Pacts, where the Defender must fulfil the goal to avoid losing their committed Nox Points and the Challenger provides both the incentive (their own committed Nox Points) and disincentive (eligibility to receive any amount forfeited by the Defender); and
(iii) Bounty Masters and Bounty Hunters in Bounty Pacts, where the former offers a reward for goal completion and the latter submits proof to claim it.
- The term “Pact Members” refers collectively to all individuals associated with a Pact, including both Participants and the designated Verifier, if any.
BY ACCESSING, USING THE SERVICES, OR BY CREATING AN ACCOUNT AND CLICKING “SIGN UP” OR A SIMILAR OPTION, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, YOU SHOULD IMMEDIATELY CEASE AND DESIST FROM ACCESSING THE PLATFORM.By accepting these Terms, You agree and consent to receive communications from Us and/or Our partners, licensors or associates for any purpose through the following modes:
• E-mails
• WhatsApp
• Calls
• Push Notifications
• Reminders
• Public announcements;
• Updates, messages/personal messages;
• Promotional content and/ or advertisements;
• direct notification to your account; and
• by any other methods that We may consider fit.
2. ELIGIBILITY
By visiting, accessing and using the Services of the Platform, You agree and undertake that You:
2.1. are a resident of India and above 18 years of age to participate in the Platform; as the Platform solely intended for Participants who are eighteen (18) years of age or older.
2.2. are of sound mind and are competent to contract.
2.3. have read, understood and agreed to the Terms and agree to be bound by these Terms;
2.4. will comply with all Platform Policies, including any terms and rules governing the activities available on the Platform, and will remain in compliance of all applicable laws at all times.
2.5. abide by the individual rules that regulate the Pacts that You have joined.
2.6. are not in violation of any agreement or contract that you may have executed with third parties.
3. CREATION OF AN ACCOUNT
3.1. Upon accessing the Platform and in order to avail the Services, You are required to register on the Platform and create an account (“Account”). At the time of creating Your Account and/or at any time during the utilization of the Services, You will be required to provide any and/or all of your information and/or documents such as:
3.1.1. Full name
3.1.2. Mobile number
3.1.3. Full address
3.1.4. Gender; and
3.1.5. Date of birth.
3.1.6. Aadhar number
3.1.7. Bank Account information
3.1.8. UPI ID
3.1.9. Permanent Account Number (PAN)
3.1.10. Any other valid Government issued document.
3.2. Furthermore, we reserve the right to conduct KYC as may be required from time to time in the manner prescribed under applicable law.4. USAGE OF THE PLATFORM
4.1. You agree to using the Platform in a manner consistent with applicable laws and regulations. Additionally, you represent, warrant and agree that any material submitted by You or used to create Pacts on the Platform does not violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal and/or proprietary rights.
4.2. You will not use the Platform for any other purposes including any other commercial purpose apart from availing the Services provided by the Company.
4.3. You also understand and accept that your mere participation in a Pact does not create any obligation for remuneration or rewards. Your winning of a Pact is entirely dependent on your mental ability, willpower, resolve, determination, and/or physical capability to engage in and complete the challenge in addition to goal setting, and potential penalties for failing to meet personal challenges or goals as may be laid down in a Pact. You acknowledge that your participation in any Pact available on the Platform is purely voluntary and is at your sole discretion.
4.4. You understand and acknowledge that once a Pact has commenced, not being able to participate due to slow internet connections, faulty hardware, internet connection failure, low computer configuration or for some other reason are not attributable to Us and the same do not entitle you to a refund of the entry fee. You may raise appeals on certain proofs and justify why You should be given leniency (which is up to our discretion to allow in light of their specific context and circumstances). However, in case of a technical glitch occurring during a Pact, you will be entitled to a refund of your consideration.
4.5. If a dispute arises from your participation or non-participation in a Pact, you have the right to appeal either to us or to the Verifier of the Pact. However, for any leniency to be considered, you must provide sufficient evidence that clearly justifies your case, and any decision to grant such leniency will be made solely at our discretion. Any decision made by Us and/or the Verifier in this regard shall be final and binding.
4.6. You agree, understand and acknowledge that the use of Your account shall solely be for the purpose of participation in the Pact and for any other transactions with us which you may have to conduct with respect to your usage of the Services offered on the Platform. You agree not to post any offensive, obnoxious, indecent or unsolicited content on the Platform including but not limited to any advertisement, promotional material, your personal information or such other details. In the event of such posting, you shall keep the Company/Platform indemnified from and against all direct and indirect damage/loss resulting therefrom.
5. OWNERSHIP & LICENSING
5.1. Any and all Pacts created through the Platform are the sole responsibility of the creator and other Participants (if applicable depending on the Pacts) in the said Pact.
5.2. The Participants of the Pacts shall ensure that any and all Pacts created on the Platform are within the constraints provided through these Terms and other Platform Policies and shall not be prohibited under the applicable laws of India.
5.3. You hereby state that you will observe strict adherence to our Platform Policies, based on which we may restrict or disable Your access if You violate our rules.
6. REPRESENTATIONS
6.1. By accessing the Platform, You confirm and guarantee that:
6.1.1. You are eligible and competent to enter into the Pacts and avail the Services provided by Nox. You have the legal authority to enter into this agreement and will abide by these Terms and Conditions.
6.1.2. Any registration details You provide will be truthful, accurate, up-to-date, and complete. We shall not be liable against any claim relating to the accuracy, completeness, and correctness of any information You provide Us. We may, at any time and at our sole discretion, require You to verify the correctness, completeness, and accuracy of such information, and to that extent require You to produce additional documentary proof. In the event You fail to provide Us with valid documentary proof, We reserve the right to limit Your access and use of the Services.
6.1.3. You have the experience, and the requisite skills required to accept and participate in the Pacts and that You are not aware of any physical or mental condition that would impair Your capability to fully participate in such activity.
6.1.4. You understand that Pacts do not constitute legally enforceable debt or promises and that You accept full accountability for your completion or failure of the goals of the Pact.
6.1.5. With full knowledge of the facts and circumstances surrounding this activity, by using the Platform, You are voluntarily choosing to participate and accordingly assume all responsibility for and risk resulting from Your participation in any Pact, including any monetary loss. You understand that Nox shall not be liable for any monetary loss that You may sustain as a result of your use of the Platform and participation in the Pacts. You agree to indemnify and hold Nox, its employees, directors, officers, and agents harmless with respect to any and all claims and costs associated with Your use of the Platform.
6.1.6. You will not use the Platform for any unlawful or unauthorized or commercial purposes and your use of the Platform will comply with all applicable laws and regulations applicable in India.
6.1.7. You are authorized to create an account, either as an individual or on behalf of an organization or business . Such accounts created on behalf of organizations shall only be for verification, observation or pact creation purposes and such accounts shall not be used to participate in any pacts as ‘Participants’ eligible to compete and receive rewards.
6.1.8. Failure to comply with these Terms may result in the removal or suspension, or termination of your account, along with any legal consequences under applicable Indian law.
7. DISCLAIMERS
For the avoidance of doubt, Nox hereby wishes to make the following disclaimers, namely:
7.1. It is hereby clarified that Nox shall have no roles or responsibilities similar to that of a custodian, trustee, or escrow agent. Any and all monetary involvement on the Platform are pooled and redistributed strictly in accordance with the individual rules that govern the said Pact. In no way, shape or form does Nox hold funds in trust or function as a financial intermediary to the Participants.
7.2. It is explicitly stated that Apple Inc. and Google LLC are not sponsors of, nor are they affiliated with any Nox Pact or challenge, or any other Service offered on the Platform. Furthermore, neither are any prizes or payouts provided or endorsed by Apple or Google but rather Nox solely administers all such offerings.
7.3. Nox does not finance, nor does it sponsor any Participant’s monetary Rewards, reward, or payouts from any of the Pact. All rewards are awarded from the prize pool as determined by the entry fee and payout terms of a Pact based on independently verified performance outcomes. The sole role of Nox is to merely facilitate an interface and platform for the creation of Pacts and the enforcement of the rules and the settlement of results.
7.4. Nox credits or in-app points ("Points") are specific virtual coins which can only be used on the Platform and do not qualify as legal tender. These Points cannot be withdrawn or redeemed for cash and are not part of the Apple App Store or Google Play Store’s payment ecosystem. It is also clarified that 1 Point on the Platform currently equals 1 INR which is subject to change at Nox's sole discretion. Unredeemed Points may expire if not reclaimed after a period of 12 months of inactivity or upon account deletion. For the avoidance of doubt, the valuation of 1 Point as equivalent to 1 INR is intended solely as a pricing mechanism and shall not be construed as an exchange rate or as implying any form of currency conversion.
8. PROHIBITED/ RESTRICTED ACTIVITIES
8.1. You may only use the Platform for its intended purpose as defined by Us. Any commercial activities on the Platform are prohibited unless explicitly authorized in writing by the Company.
8.2. As a Participant of the Platform, you agree not to:
8.2.1. engage, organize, participate in any form of online gaming, online gambling or any other form of real money gaming/ gambling. Furthermore, the Participants are restricted from involving themselves in any form of betting, gambling or wagering as prohibited by the Public Gambling Act, 1867 while utilizing the Service and creation of the Pacts.
8.2.2. No individual, group of individuals, entity, or any Participant of the platform, whether directly or indirectly, shall engage in, facilitate, incite, induce, aid, abet, conspire, coerce, compel, threaten, deceive, fraudulently mislead, unlawfully influence, force, pressure, or otherwise participate in the creation, execution, promotion, or continuation of any Pact of the Platform or any activity associated with it in a manner that results in, contributes to, encourages, or is likely to result in any criminal act as defined under the Bharatiya Nyaya Sanhita, 2023. This includes, but is not limited to:

8.2.2.1. Offences Resulting in Physical or Mental Harm such as but not limited to battery, assault, homicide, culpable homicide, murder. hurt, abetment of suicide, wrongful confinement, criminal negligence, domestic violence, kidnapping etc.,
8.2.2.2. Offences Relating to Fraud, Deception, and Economic Crimes such as but not limited to cheating, fraud, criminal breach of trust, counterfeiting and forgery etc.,
8.2.2.3. Offences Against Women and Children including but not limited to sexual harassment, assault, human trafficking, exploitation, offences against minors etc.,
8.2.2.4. Offences Against Public Order, Decency, and Morality including but not limited to public nuisance, indecency, defamation and harassment
8.2.2.5. Offences Related to Intimidation, Threats, and Coercion including but not limited to criminal intimidation, threats and extortion etc.,
8.2.2.6. Offences Relating to Cybercrimes and Digital Fraud including but not limited to unauthorized access and data theft, impersonation, identity theft
8.2.2.7. Terrorism, Sedition, and National Security Offences including but not limited to terrorist activities and funding of such terrorist activities, unlawful assembly and rioting
8.2.2.8. Drug-Related and Substance Abuse Offences including but not limited to the use or distribution of narcotics and psychotropic substances etc.,
8.2.2.9. Miscellaneous Offences including but not limited to obstruction of justice, providing false evidence and misleading information.
8.2.3. systematically collect or extract data or content from the Platform to create a compilation, database, or directory without our written consent;
8.2.4. engage in unauthorized activities such as harvesting or collecting email addresses or other contact information of other Members from the Platform by electronic or other means for any reasons including sending unsolicited emails or other unsolicited communications or creating accounts through automated means or false pretenses;
8.2.5. use the Platform in any prohibited or unlawful manner or in any other manner that could damage, disable, overburden or impair the Platform.
8.2.6. use automated scripts to collect information from or otherwise interact with the Platform;
8.2.7. upload, transmit, post, share, store or otherwise make available any content the Platform deems to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory invasive of privacy or publicity rights, hateful, racist, or otherwise objectionable, including sensitive personal information of users without such user’s written permission.
8.2.8. upload, post, transmit, share, store, or otherwise make available any, photographs, audios, videos other than those of a personal nature that: (i) are of you or your friends, (ii) are taken by you or your friends, or (iii) are original art or animation created by you or your friends unless the same is covered under a Pact(s) that You may have created or joined. However, in the event a Participant obtains informed, voluntary consent from all individuals depicted in any content (photos, videos, audio, etc.) submitted on the Platform especially in group challenges, public events, or where non-participants are visible then such action will not be considered prohibited. Submissions that lack proper consent may be removed, and repeated violations may lead to any action deemed fit and/or initiation of legal proceedings as may be deemed necessary.
8.2.9. register for more than one Participant account, register for a Participant account on behalf of an individual other than yourself. However, you may participate in a Pact as a representative of a team, group, or organization, provided that the KYC requirements are completed in in solely your name and the account created shall be solely used by you, and all actions taken through the account remain your personal responsibility;
8.2.10. impersonate any person, or falsely state or otherwise misrepresent yourself, your age, or your affiliation with any person or entity;
8.2.11. upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, or any other form of solicitation;
8.2.12. upload, post, transmit, share, store or otherwise make publicly available on the Platform any confidential information of a third party, including contact information.
8.2.13. upload, post, transmit, share or otherwise make available any material that contains software viruses, other computer codes, files, or programs designed to interrupt, destroy or limit the functionality of any software or hardware or telecommunications equipment;
8.2.14. intimidate or harass other Participants.
8.2.15. create, transmit, share or otherwise make available any content that would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national, or international law.
8.2.16. use or attempt to use another Participant’s account, service or system or create a false identity on the Platform.
8.2.17. upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of the Company, is objectionable or which restricts or inhibits any other person from using or enjoying the Platform, or which may expose the Company or the Participants to any harm or liability of any type;
8.2.18. engage in unnatural and impractical methods that could harm general health and wellbeing in order to complete tasks on the Platform.
8.2.19. manipulate or interfere with any Pact or challenge on or off the Platform, including but not limited to: colluding with other Participants to fix outcomes; exerting influence over Pacts in which You are not a Participant, whether through bribery or other indirect means; or creating or participating in off-platform agreements, wagers, or derivative bets tied to the performance or results of a Pact, or otherwise manipulate the natural course of pacts and challenges.
8.2.20. use the Platform for advertising or selling goods and services.
8.2.21. bypass, disable, or interfere with security features, including those restricting usage or enforcing Platform limitations.
8.2.22. deceive or mislead Us or other Participants, especially when attempting to obtain sensitive information like passwords.
8.2.23. misuse our support services or submit false reports of abuse or misconduct.
8.2.24. without limiting any of the foregoing, You also agree to abide by all other Platform Policies that may provide further information regarding the authorized conduct of Participants on the Nox Platform.
9. SUSPENSION & TERMINATION
9.1. Your account may be suspended or terminated if You fail to comply with our Terms, Platform Policies, rules agreed between the Pact Members (participants and verifiers) which will regulate the Pact and its challenges.
9.2. The Company may terminate your membership, delete your profile, and/or prohibit you from using or accessing the Platform (or any portion, aspect or feature of the Platform) for any reason, or no reason at any time in its sole discretion, with or without notice, including if it believes that You are under eighteen years of age.
9.3. You may terminate your membership at any time for any reason provided that if you are in an ongoing Pact you will continue to be bound by the terms of that Pact until that Pact terminates. The committed Nox points in a Pact will be forfeited as per the terms of the Pact in the event the Participant tries to delete their account whilst being a user or a Verifier in an active Pact.
10. REGISTRATION AND ACCOUNTS
10.1. In order to access the services provided through the Platform, registration is required along with certain details such as email id, and a password. You are solely responsible for maintaining the confidentiality of the password associated with your Nox account and for restricting access to your password, your computer and mobile device while logged into the Services. You accept responsibility for all activities that occur under your account or from your computer and mobile devices. You agree to immediately notify Nox of any unauthorized use of your account or password, or any other breach of security, and confirm that you understand all risks of unauthorized access to User Data and any other information or content you provide to Nox. The use of unique and complex passwords is highly recommended for security reasons.
10.2. You may register for or log-in to your account via Google . If you do so, you will authorize Nox to pre-populate the registration and other relevant fields of information of your account and/or to use such third-party credentials to log you into your account, based on Google’s privacy policies. If you connect your account to Google, you agree to comply with the terms and conditions and policies applicable to such third party.
10.3. You agree to keep Your password secure and acknowledge that You are responsible for all activity under Your account. We reserve the right to remove, reclaim, or modify any username at our sole discretion if it is deemed inappropriate, offensive, or otherwise objectionable.
10.4. To use the Services, You must register. In doing so, You agree to: (a) provide true, accurate, current and complete information about Yourself (“User Data”) and (b) maintain and promptly update the User Data. You agree that Nox may use your User Data to provide Services that you access or use and as otherwise set forth in these Terms and other Platform Policies. You also agree to create only one account for your own personal use and not share Your account with others. You agree that all activities associated with Your account on the Services reflect authentic activities undertaken by You.
10.5. By virtue of certain of the Services connecting to third-party APIs, you hereby agree to be bound by those providers’ terms of service and privacy policies in connection with your use of such Services.
11. PAYMENTS, FEES AND TAXES
11.1. Nox shall provide, to all Participants, in-app accounts that work as a closed system pre-paid instrument in the following manner:
11.1.1. Account 1 (C1) – The Participants purchase Nox points at the price of 1 INR= 1 Nox Point. This, in turn reflects on their C1 account facilitating their participation in Pacts such as []. This C1 account in addition to being the deposit account shall also function as the account for the above-mentioned Pacts for storing any amounts received by a Participant upon successfully winning the said Pact on the Platform. No refunds for any purpose other than Nox’s inability to provide Services and/or non-provision of Services shall be allowed once a deposit has been made in this C1 account unless mandated specifically under these Terms, other Platform Policies or applicable laws.
11.1.2. Account 2 (C2) – The Participants transfer money to the Company’s bank account directly which in turn reflects on their C1 account. In the event the Participant wishes to participate in Pacts such as [
], the applicable Nox Points for the same or more may be transferred from C1 to C2 for such participation. This C2 account in addition to being the deposit account for such Pats as mentioned above shall also function as the account for storing any amounts received by a Participant upon successfully winning the said Pact on the Platform. No refunds for any purpose other than Nox’s inability to provide Services and/or non-provision of Services shall be allowed once a deposit has been made in this C2 account unless mandated specifically under these Terms, other Platform Policies or applicable laws.
11.2. Fees and Deductions
11.2.1. Nox reserves the right to charge a fee for provision of the Services (“Platform Fee”), which would be specified and notified by Nox from time to time. The Platform Fee (inclusive of applicable GST thereon) shall be calculated at the time the Pact goes live based on the total Prize Pool, and proportionally debited from each Participant’s Nox account at the time of creation or acceptance of the Pact. Furthermore, Nox reserves its right to deduct such Platform Fee even in the event a Pact was cancelled for any reason(s).
11.2.2. Additionally, Nox reserves the right, at its sole discretion and with prior notice to Participants, to:
11.2.2.1. introduce a fee, which may be levied as a flat fee or as a percentage of the Reward amount;
11.2.2.2. prescribe limits on the minimum and/or maximum Points that may be Claimed as Rewards within a specified period;
11.2.2.3. specify an expiry period for unused Points in either of the C1 or C2 accounts, after which such Points may be forfeited, provided that Participants are given prior notice and fail to claim or utilize the Points within the specified timeframe. .
11.2.3. All such fees, limits, and expiry periods (if any) shall be notified on the Platform and shall take effect in accordance with the terms set out in such notifications.11.3. Taxes
11.3.1. We are legally mandated to deduct tax at source (“TDS”) at the time of claiming the Reward. In these cases, You will be required to furnish Your PAN.
11.3.2. These limits and rates are subject to change as per the applicable laws. Nox’s obligation in this regard is limited to deducting TDS as required by law and providing You with an appropriate certificate of tax deduction.
11.3.3. We reserve the right to verify Your PAN from time to time and to cancel any remuneration should Your PAN be found inconsistent in our KYC verification process. We shall have no liability or responsibility in connection with Your personal taxation matters.
11.3.4. In the event of any changes or revisions by the Government of India to the applicable TDS rates in the future, TDS shall be deducted by Us in accordance with the revised rate as prescribed at that time. Information about any such deductions made by Us will be provided to the Pact members. The Pact Members shall be solely responsible for the payment of any other applicable taxes, including but not limited to income tax, gift tax, or any other taxes applicable. We shall bear no responsibility for the tax obligations of individual users beyond the deduction of TDS.
12. REWARDS
12.1. The processing of transactions on our Platform is subject to reliance on banks and third-party service providers. Accordingly, any rewards after the successful completion of a Pact to be reflected on your bank account may take up to 72 (seventy-two) hours to process. You agree not to hold Us, responsible or liable for any delays in the processing of such payments. You are entitled to rewards only upon the successful completion of the Pact. At the time of successful completion of a Pact a ticket is created providing you with an option to either claim your reward or to circulate/ use the Nox points for the future participation of other Pacts. In the event You wish to claim your reward, You are required to provide Us with the details of the Bank Account to which the corresponding reward is to be credited, and such Bank Account must belong to You.
12.2. To enable non-monetary penalties within a Pact (such as physical tasks, favours, or in-kind offerings like sponsoring a meal), the Platform may place a nominal hold of Nox Points (currently 5 Nox Points per penalty) from the responsible Pact Member. These points are not transferred to any other user but are temporarily held to enforce follow-through. Upon completion of the penalty, the Pact Member may self-certify completion by uploading a proof (e.g., a photo of the dinner they sponsored) using the ticket generated at the end of the Pact. Once the proof is uploaded, the held Nox Points will be automatically credited back to the Participant’s Nox balance. The Platform does not verify or adjudicate these off-platform resolutions, which are to be fulfilled and acknowledged entirely between the concerned Pact Members. If such a ticket is not redeemed before the expiry date, the nominal Nox points held will be considered forfeited.

12.3. A reward request will be accepted by Us subject to adequate KYC verifications, alignment with the deposit method, discount terms/restrictions , and/or security reviews by Our vendors, agents, automated systems and/ or risk management team. You agree that all Rewards claimed are governed by the following conditions:
12.3.1. You may claim all of the Nox points earned from the successful completion of a Pact from either of your accounts subject to you successfully winning a Pact, and further subject to the levy of applicable processing fee (depending on the method), and applicable taxes.
12.3.2. You may claim a minimum reward of INR 100.00 (Indian Rupees One Hundred only) and a maximum reward of INR 50,000.00 (Indian Rupees Fifty thousand only) per transaction. Furthermore, Nox shall not charge a fee for a Participant’s first reward claim. However, any and all claim for rewards by a Participant after the first reward claim shall attract a processing fee of INR 50 if the Reward amount is equal to or less than INR 1000. For any claims beyond INR 1000, a Processing Fee amounting to [0.5] % of the total Reward being claimed shall be levied by Nox. The percentage of Processing Fee may be changed or modified by Us from time to time.
12.3.3. Claims of rewards shall, subject to restrictions specified in these Terms and other Platform Policies, be processed post Your KYC verification. We may ask You for Your KYC documents at any stage to verify Your address and identity.
12.3.4. We will attempt to process the Reward claimed in a timely manner, but there may be delays due to the time required for the KYC verification, security checks, and other processes involved in completing the transaction. We shall not be liable to pay any form of compensation to You for the reason of such delays in processing such Reward requests and remitting payments.
12.4. Your Rewards may be disclosed to the relevant authorities, and requisite amounts may be withheld from payouts, in order to ensure compliance with applicable law and lawful requests from the government, regulatory bodies, or an order of any court of competent jurisdiction.12.5. If there is any request for the refund of the unutilized Nox Points in either of the in-app ledgers, such request shall be processed post the deduction applicable GST to be paid to the government on the initial deposit in either of the two in-app ledgers.13. RESPONSIBILITY FOR CREATION / ACCEPTANCE OF PACTS
13.1. You acknowledge that the Platform and Company is not responsible for any Pacts that are being created on the Platform.
13.2. You bear full legal responsibility for any Pact that violates these Terms or any applicable laws in India.
13.3. You also acknowledge that your relationship with the Platform does not create any confidential, fiduciary, or other special legal relationship.
13.4. Additionally, You voluntarily undertake that the Pacts You create/ join are for personal growth in which your success or failure is solely your responsibility. Nox does not guarantee results or outcomes, nor does it provide medical, fitness, or wellness advice.
13.5. While the Pacts hosted on the Platform are intended to promote positive behavioral change, personal growth, and improved outcomes for Participants, Nox specifically makes no representations, warranties, or guarantees regarding the effectiveness, success, or results of any Pact.
13.6. Participation in any Pact is entirely voluntary and undertaken at your own risk. The achievement of goals or objectives within a Pact is dependent on numerous factors including, but not limited to, the Participant’s personal discipline, effort, circumstances, and health. Nox does not assume responsibility for any failure to achieve intended results or outcomes, and shall not be held liable for any loss—financial, physical, or otherwise—arising from participation in any Pact.
14. PACT MONITORING AND DISPUTES
14.1. Nox shall at its sole discretion choose to monitor Pacts on the Platform in the event Nox reasonably feels that the Pact violates any terms or provisions of any of the Platform Policies or any applicable laws.
14.2. Nox reserves the right to intervene in disputes between Participants, or disputes between a Participant and Verifier. Upon written intimation of such dispute by either the Participant or the Verifier, Nox shall ensure that it intervenes in such dispute and shall be impartial in its adjudication of the dispute and evaluation of evidence submitted by either the Participant or the Verifier. In a dispute between Participants, the Verifier decisions are final unless collusion or cheating is reported. In such cases, Nox reserves the right to investigate and issue a final binding decision.
14.3. The approval or verification of a Participant’s submission by a Verifier does not automatically entitle the Participant to receive a reward or be deemed successful in a Pact. All verified submissions remain subject to audit and oversight by Nox. Furthermore, Nox reserves the right, at its sole discretion, to review, investigate, and revoke any previously accepted verification in cases where fraud, manipulation, collusion, or any other form of misconduct is suspected or reported. In such instances, Nox may take any necessary action, including not limited to disqualifying the Participant, reversing the verification status, forfeiting the Nox points, voiding the relevant Pact, or suspending/ terminating the account involved.
14.4. Participants acknowledge and accept that verification is not final or binding if subsequently found to be influenced by invalid, dishonest, or manipulated submissions.
15. VERIFIER APPOINTMENT, DUTIES AND RIGHTS
15.1. A Verifier is a person chosen by the creator of a Pact. The Verifier shall function as an independent third party responsible for ensuring that the rules of the Pact are followed, all submitted evidence is properly reviewed, and the completion of the Pact is fairly and impartially assessed for all Participants. Any Participant who is participating in a Pact cannot be the Verifier of the said Pact.
15.2. The Verifier shall bear the primary responsibility of resolving disputes between the Participants of the Pact and shall have the power to collect and peruse evidence as submitted by the Participant supporting a Participant’s claim or defense in connection with the said dispute. The Verifier shall ensure that they shall not be an interested party in the said dispute between the Participants, in such an event the Dispute shall be escalated to Nox as required under these Terms.
15.3. By accepting the role of a Verifier within any Pact, any User undertakes to act with fairness, neutrality, and integrity. Verifiers are expected to perform their duties in a timely and diligent manner, including reviewing proofs without unreasonable delay, to avoid disrupting the experience of other Participants. You may only accept a Verifier role if you reasonably believe you have the capacity and availability to fulfil your responsibilities. Any misuse of authority, deliberate manipulation, or collusion with Pact Members will result in immediate disqualification from the Verifier role and may lead to account suspension or a permanent termination from the Platform.
15.4. Upon being approached with a dispute, the Verifier shall require the following in order to come to a proper resolution of the dispute at hand:
15.4.1. Evidence must be uploaded on the Platform with detailed explanation and reasons behind the dispute.
15.4.2. The Verifier is to receive such evidence in the same manner as normal proofs that are submitted by the Participant in the normal course of actions for the completion of the Pact, but shall be specifically labelled “Proof of Cheating”.
15.4.3. Upon an impartial perusal of such evidence being submitted by a Participant and the Verifier accepting the same, Nox reserves the rights to enforce either a monetary or non-monetary penalty on the other party i.e., Participant within the constraints of the said Pact or these Terms as may be applicable.
15.5. Timelines for appeals:
15.5.1. Participants may raise allegations of cheating or misconduct related to any Pact within twenty-four (24) hours following the official end time of the Pact.
15.5.2. In the case of a Slow Drip Pact, Participants may submit appeals against any rejected proof until twenty-four (24) hours after the official end time of the Pact but may appeal a rejected proof only once. If the 24-hour window ends before midnight, the deadline is extended until the end of that day.
15.5.3. In a Sudden Death Pact, including those with up to three (3) revives, Participants may appeal a rejected proof only once, and must do so within twenty-four (24) hours of the rejection. If the 24-hour window ends before midnight, the deadline is extended until the end of that day. A Participant shall be disqualified if an appealed rejection is upheld and it constitutes their first Rejected Proof in a standard Sudden Death Pact, or their fourth Rejected Proof in a Sudden Death Pact with Revives. The Pact shall continue as long as at least two (2) Participants remain who have not been disqualified—that is, those with zero (0) upheld rejections in a standard Pact or three (3) or fewer in a Pact with Revives. If an appeal is denied and this results in only one (1) such Participant remaining, the Pact shall automatically close. Rewards from the Pact shall be distributed as per existing performance records in the Pact or the Participant and their committed Nox points shall be forfeited in accordance with the applicable Pact.
15.5.4. While an Appeal is pending, the Participant may continue uploading Proofs for the Pact, provided that the Participant has first submitted an Appeal in response to the Rejected Proof. However, the Verifier shall not be permitted to review or approve any new submissions from the Participant until the Appeal has been either accepted or rejected.
15.6. In instances where a Verifier is accused of misconduct, collusion, bias, or any form of unfair behavior, the Participant must initiate the “Report Cheating” process within the Nox Platform and select the Verifier as the subject of the complaint, and provide supporting evidence and a detailed reasoning statement. Upon receiving such a report, Nox shall conduct an independent review of the claim pursuant to which if the Verifier is found to have engaged in corrupt or unfair conduct or practices, the entire Pact shall be declared void and all Participants irrespective of their individual conduct shall receive a refund of those Nox Points deducted for participation in the Pact from the ledgers in their respective ledgers for further utilization in other Pacts. . However, any Participant found to have engaged in misconduct during the Pact, their account is liable to be either suspended or terminated, despite receiving a refund.
15.7. In solo Pacts, where the Verifier independently reports a Participant for cheating, they must submit the necessary proof and reasons through the appropriate reporting mechanism. All such reports shall be subject to review as per Nox's internal policies.
16. PLATFORM INTEGRITY AND ANTI-CHEATING, ANTI-COLLUSION
16.1. Cheating:
16.1.1. Nox upholds a strict commitment to fairness, integrity, and honest participation across all Pacts. To ensure compliance with these standards, Nox reserves the right to conduct additional audits of any Participant’s performance or submissions, either randomly or in response to suspicion of non-compliance, manipulation, or misconduct.
16.1.2. Participants may be required, at Nox’s sole discretion, to submit supplementary evidence in support of their final or interim submissions within twenty-four (24) hours of receiving such a request. Specific instructions and guidelines for the submission of such additional proof will be provided at the time of notification.
16.1.3. Failure to provide the requested verification within the prescribed timeline, or submission of incomplete, inconsistent, or unverifiable materials, may result in the immediate forfeiture of both the Participant’s initial Nox points committed and any accrued rewards from the Pact. Such forfeiture shall be without prejudice to any other legal or disciplinary action Nox may choose to pursue.
16.1.4. Furthermore, Nox reserves the unilateral right to deny access to or suspend the participation of any Participant in any Pact, temporarily or permanently, without providing specific reasons, particularly where there is reason to suspect abuse of the Platform or its rules.
16.1.5. By enrolling in or participating in any Pact on the Platform, the Participant acknowledges that all decisions taken by Nox, including those relating to disputes, audits, forfeitures, any cheating and eligibility, shall be final, binding, and conclusive.
16.1.6. Participants are strictly prohibited from submitting any false, manipulated, or fraudulent information in the course of participating in a Pact. Any such conduct shall constitute a material breach of the Platform’s policies and may subject the offender to disqualification, account suspension/ termination, forfeiture of Nox Points, and wherever applicable criminal prosecution under relevant laws.
16.2. Maintenance of Platform Integrity:
16.2.1. Participants are strictly prohibited from engaging in any conduct that undermines the integrity of the Platform or the fairness of Pacts. Without limitation, the following activities are expressly forbidden:
16.2.1.1. Designating themselves or individuals with whom they share a close personal, professional, or financial relationship as recipients of forfeited Nox points;
16.2.1.2. Creating or operating multiple accounts, or using fake identities, to influence the outcome of a Pact;
16.2.1.3. Employing any means to manipulate or exploit the mechanics of the Platform in a manner that guarantees a win without bona fide participation or effort.
16.3. Any breach of the above provisions may result in immediate cancellation of the relevant Pact(s), forfeiture of Nox points, and suspension or termination of the offending Participant’s account, at the sole discretion of Nox.
17. USE OF YOUR PROFILE INFORMATION
17.1. By using the Services, you grant us permission to use your profile name, profile photo, activity status and information about your activities and interactions, including engagement with third-party products, services, or devices, in promotional and commercial contexts within the Services. This may include showcasing your participation in challenges or use of third-party products to other Participants within the Platform’s ecosystem, particularly in the context of community-based or publicly accessible Pacts.
17.2. For specific challenges that are open to the broader Nox users, including those hosted or sponsored by third parties, other Participants may be able to view the list of users enrolled in the challenge, your progress status, and any proof submissions or updates you upload as part of your participation. This transparency is intended to promote accountability, encourage community engagement, and maintain the integrity of open Pacts.
17.3. You may manage certain visibility preferences through your account settings; however, participation in community challenges may require a minimum level of information disclosure, including public visibility of proof submissions, in order to ensure fair play and verification. By enrolling in such Pacts, you consent to this level of visibility, and acknowledge that your submissions and participation details may be viewed by other users, Verifiers, and, where applicable, sponsoring third parties. All use and display of such information will be subject to the Platform’s Privacy Policy and community guidelines.

17.4. Nox may utilize information voluntarily submitted by Participants, including but not limited to personal habits, preferences, fitness data, proof uploads, and historical Pact activity in order to enhance and tailor the experience of the Participant on the Platform. Any and all personalization efforts will be conducted in accordance with Nox’s Privacy Policy and applicable data protection laws. Users may manage certain personalization settings or opt out from receiving select notifications via their account preferences. However, core functional communications may remain active to ensure a consistent and effective user experience.18. INTERACTIONS WITH OTHER PARTICIPANTS
18.1. The Services provide a platform for Participants to connect and interact. As a neutral facilitator, we do not control the accuracy, quality, legality, or safety of content posted by Participants. We do not verify the qualifications, background, or abilities of Participants. You should exercise common sense and good judgment when interacting with others through the Platform.
18.2. If you choose to share your activities or information with other Participants, including through tracking features or notifications, you confirm that you have the necessary permissions to share such information. You also acknowledge that we may process contact information as per our Privacy Policy.
18.3. Participants are advised that any personally identifiable information (PII) or sensitive content voluntarily shared by them in public or group chats, forums, or other interactive features on the Platform may be visible to and accessed, collected, or further shared by other Participants. Nox does not monitor or control the actions of other Participants in such communication spaces and cannot guarantee the privacy or security of any information disclosed voluntarily by you in these settings. Accordingly, you acknowledge and accept that any such disclosures are made at your sole discretion and risk.
18.4. Nox shall not be held liable for any misuse, unauthorized access, or consequences arising from the sharing of your personal information with others through in-app communications or other user-to-user interactions. Users are encouraged to exercise caution and discretion when engaging in discussions or sharing information on the Platform.
19. THIRD-PARTY SERVICES
19.1. Third-party products and services available through the Platform are provided directly by the respective third parties. When you engage with any third party, you acknowledge that you are contracting directly with them, not with us. We are not liable for any interactions, transactions, or disputes with third-party providers.
19.2. Additionally, we may provide links to third-party websites or resources. We do not endorse or take responsibility for any content, products, or services available on such external sites. You acknowledge that we are not responsible for the availability of third-party resources.
20. ELECTRONIC COMMUNICATIONS
20.1. The Services may enable you to send messages or communicate with other Participants, third-party providers, or advertisers. You agree to use these communication tools only for their intended purpose and in compliance with applicable laws, including regulations on direct marketing communications. Communications through the Services may be public, depending on your settings.
20.2. We may monitor or archive communications in accordance with applicable laws. All notices, disclosures, and other communications provided electronically will satisfy any legal requirements for written communication.
21. PROPRIETARY RIGHTS
21.1. The Platform, including software, aggregated data containing proprietary and confidential information are protected under intellectual property laws. Except as permitted by law, you shall not modify, rent, lease, sell, distribute, or create derivative works based on the Platform and Services without prior authorization.
21.2. All trademarks, logos, and branding elements related to the Services are the exclusive property of the Platform. You may not use these trademarks without prior written permission. References to third-party products or services do not imply endorsement or sponsorship.
21.3. All names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights that are accrued during the creation of a Pact on the Platform belonging to any person (including a Participant), entity or third party are recognized as proprietary to the respective owners and any claims, controversy or issues against these names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights must be directly addressed to the respective parties under notice to Nox.
22. CLAIMS OF INFRINGEMENT
22.1. If you believe that any content used during the creation of a Pact or in general during the usage of Services infringes upon your copyright or trademark rights, you may submit a notice requesting removal. The notice must include:
22.1.1. Your name, contact details, and a statement of your ownership rights.
22.1.2. Identification of the infringing content and its location on the Services.
22.1.3. A statement affirming that you believe in good faith that the content is not authorized by you, your agent, or the law.
22.1.4. A statement confirming the accuracy of your claim under penalty of perjury.
22.2. If necessary, we shall endeavor to remove the content in compliance with applicable laws. Similarly, in the event a removal request has been wrongly filed against you, you may submit a counter-notice with similar details. We advise consulting a legal professional before filing an infringement claim.
22.3. The platform reserves all rights not expressly granted under these Terms.
23. FEEDBACK
You may have the ability to provide comments, feedback, suggestions, ideas, original or creative materials, and other communications regarding the Services and the information and services we make available through the Services (collectively, “Feedback”). If you provide Feedback, You hereby grant to Nox a worldwide, non-exclusive, transferable, assignable, sub-licensable, perpetual, irrevocable, royalty-free license to copy, distribute, create derivative works of, publicly display and perform and otherwise exploit such Feedback and to use, make, have made, sell, offer for sale, import and export products and services based on such Feedback. For this reason, do not send Nox any Feedback that you do not wish to license to us as set forth above.
24. DISCLAIMER OF WARRANTIES AND LIABILITY
24.1. THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT AVAILABLE THROUGH THE PLATFORM ARE PROVIDED TO YOU “AS IS” AND WITHOUT WARRANTY. NOX AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES WITH REGARD TO SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. NOX AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) YOUR CONTENT WILL BE AVAILABLE OR THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY SERVICES, INFORMATION OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND (E) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
24.2. YOU EXPRESSLY AGREE THAT NOX IS NOT PROVIDING MEDICAL, PSYCHOLOGICAL OR WELLNESS ADVICE VIA THE SERVICES. THE CONTENT PROVIDED THROUGH THE SERVICES, INCLUDING ALL TEXT, PHOTOGRAPHS, IMAGES, ILLUSTRATIONS, GRAPHICS, AUDIO, VIDEO AND AUDIO-VIDEO CLIPS, AND OTHER MATERIALS, WHETHER PROVIDED BY US OR BY OTHER ACCOUNT HOLDERS OR THIRD PARTIES IS NOT INTENDED TO BE AND SHOULD NOT BE USED IN PLACE OF (A) THE ADVICE OF YOUR PHYSICIAN OR OTHER MEDICAL PROFESSIONALS, (B) A VISIT, CALL OR CONSULTATION WITH YOUR PHYSICIAN OR OTHER MEDICAL PROFESSIONALS, OR (C) INFORMATION CONTAINED ON OR IN ANY PRODUCT PACKAGING OR LABEL. SHOULD YOU HAVE ANY HEALTH-RELATED QUESTIONS, PLEASE CALL OR SEE YOUR PHYSICIAN OR OTHER HEALTHCARE PROVIDER PROMPTLY. SHOULD YOU HAVE AN EMERGENCY, CALL YOUR PHYSICIAN.
24.3. YOU SHALL ENSURE THAT YOU ARE PHYSICALLY AND MENTALLY CAPABLE OF PARTICIPATING AND IN GOOD FAITH BELIEVE THAT YOU CAN COMPLETE ANY CHALLENGES OR TASKS IN ALL PACTS THAT ARE EITHER CREATED BY YOU OR THOSE THAT YOU ACCEPT AND JOIN. YOU EXPRESSLY AGREE THAT ANY ATHLETIC OR PHYSICAL ACTIVITIES (INCLUDING, BUT NOT LIMITED TO, CYCLING, RUNNING, OR AS CREATED UNDER A PACT) CARRY CERTAIN INHERENT AND RISKS OF BODILY INJURY OR DEATH AND THAT YOU VOLUNTARILY ASSUME ALL KNOWN AND UNKNOWN RISKS ASSOCIATED WITH THESE ACTIVITIES EVEN IF CAUSED IN WHOLE OR PART BY THE ACTION, INACTION OR NEGLIGENCE OF NOX OR BY THE ACTION, INACTION OR NEGLIGENCE OF OTHER PARTICIPANTS.
24.4. YOU EXPRESSLY AGREE THAT NOX DOES NOT ASSUME RESPONSIBILITY FOR THE INSPECTION, SUPERVISION, PREPARATION, OR CONDUCT OF ANY, CONTEST, TASK, CHALLENGE, OR GROUP ACTIVITY CREATED UNDER A PACT. THE VERIFIER (IF ANY) ALLOCATED OR APPOINTED SHALL ENSURE PROPER INSPECTION, SUPERVISION.
24.5. YOU EXPRESSLY AGREE TO RELEASE NOX, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, PARTNERS AND LICENSORS (THE “RELEASED PARTIES”) FROM ANY AND ALL LIABILITY IN CONNECTION WITH YOUR CHALLENGES CREATED THROUGH THE PACTS AND/OR USE OF THE NOX WEBSITES, MOBILE APPLICATIONS, SERVICES AND PROMISE NOT TO SUE THE RELEASED PARTIES FOR ANY CLAIMS, ACTIONS, INJURIES, DAMAGES, OR LOSSES ASSOCIATED WITH SUCH USE. YOU ALSO AGREE THAT IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH (a) YOUR USE OR MISUSE OF THE SERVICES, (b) YOUR DEALINGS WITH THIRD-PARTY SERVICE PROVIDERS OR ADVERTISERS AVAILABLE THROUGH THE SERVICES, (c) ANY DELAY OR INABILITY TO USE THE SERVICES EXPERIENCED BY YOU, OR (d) ANY INFORMATION, SOFTWARE, SERVICES OR CONTENT OBTAINED THROUGH THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF NOX HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.
24.6. NOX DOES NOT ENDORSE YOUR CONTENT AND SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY TO ANY PERSON OR ENTITY FOR ANY LOSS, DAMAGE (WHETHER ACTUAL, CONSEQUENTIAL, INDIRECT, PUNITIVE OR OTHERWISE), INJURY, CLAIM, LIABILITY OR OTHER CAUSE OF ANY KIND OR CHARACTER BASED UPON OR RESULTING FROM ANY CONTENT ON THE SERVICES.
25. INDEMNITY
25.1. You agree to indemnify and hold Nox and its subsidiaries, affiliates, directors, officers, agents, representatives, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content you submit, post, transmit or otherwise seek to make available through the Pact and your use of the Services, (including, but not limited to, athletic activities in connection with any pacts or other events which Nox sponsors, organizes, participates in, or whose Services are used in connection with), your connection to the Services, your violation of the Terms, your violation of any data protection or privacy laws, or your violation of any rights of another person or entity.
25.2. Your rights with respect to Nox are not modified by the foregoing indemnification if the laws of your country of residence, applicable as a result of your use of our Services, do not permit it.
26. DISPUTE RESOLUTION
26.1. If any dispute arising out of, or in connection with, the Services provided by Nox via the Platform, the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of the Participant(s) or Nox, as well as the exclusive jurisdiction to grant interim or preliminary relief in case of any dispute referred to arbitration as given below arises between the Participant(s) and Nox (“Dispute”), the disputing parties hereto shall endeavor to settle such Dispute amicably. The attempt to bring about an amicable settlement shall be considered to have failed if not resolved within 30 (thirty) days from the date of communicating the Dispute in writing.
26.2. If, and to the extent that a dispute cannot be or has not been resolved through amicable negotiation and settlement, either Party may initiate proceedings against the other Party. The competent court of Gandhinagar , India has exclusive jurisdiction to settle any dispute or claim which may arise out of or in connection with the Agreement, it subject matter or formation (including non-contractual disputes or claims). The Parties irrevocably submit to the exclusive jurisdiction of such court and waive any objection to proceedings in such court on the ground that the proceedings have been brought in an inconvenient forum.27. CANCELLATION OR TERMINATION
27.1. If you signed up on Platform, you may cancel , delete your account by visiting your [email protected] page and selecting [email protected]. You have the right to request the deletion of your User Data at any time by providing an intimation of the same to [email protected]. Detailed provisions of the nature of deletion of User Data and retention of the same under applicable laws is provided in the Data Protections & Privacy Policy
27.2. You agree that Nox may, under certain serious circumstances and without prior notice, immediately suspend or terminate your account and/or access to the Services. Cause for such suspension or termination shall include, but not be limited to, (a) breaches or violations of the Terms or other incorporated agreements, policies or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (d) discontinuance or material modification to the Services (or any portion thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, and/or (g) nonpayment of any fees owed by you in connection with the Services. In some cases, you may have the right to appeal,
27.3. Termination of your account may include (a) removal of access to all offerings within the Services, (b) deletion of your information, associated with your account, and (c) suspension or termination from further use of the Services.
27.4. Furthermore, you agree that all suspensions or terminations for cause shall be made in Nox’s sole discretion, and that Nox shall not be liable to you or any third party for any suspension or termination of your account or access to the Services. The following sections shall survive termination of your account Proprietary Rights, Disclaimer of Warranties and Liability, Indemnity, Dispute Resolution, and General.
28. CANCELLATION OF A PACT
28.1. You will get the full quantum of Nox points committed by you towards creation or participation in a Pact back in your in-app ledger, if,
28.1.1. The Pact never goes live due to any of the following:
28.1.1.1. The Pact did not meet the minimum participant quorum (if applicable);
28.1.1.2. The selected Verifier declined or did not respond within the allowed timeframe and an alternate Verifier did not replace them;
28.1.1.3. The Pact was cancelled by the creator (which may be you) before it was declared live;
28.1.1.4. The Pact lapsed because the creator (which may be you) did not declare it live despite the pact meeting minimum quorum, before the pact’s final deadline arrived.
28.1.2. The pact is terminated after going live, but before final resolution, for any of the following reasons:
28.1.2.1. The Verifier is found guilty by Nox of bias, collusion, corruption, or conflict of interest;
28.1.2.2. Nox’s moderation team intervenes and cancels the Pact due to a violation of these Terms and Conditions or any other Platform Policies or any applicable law;
28.1.2.3. A major Platform error, security breach, or technical fault materially compromises the integrity of the Pact.

28.1.3. In case of any other request for return of Nox points in your in-app ledger and not falling within any of the cases listed above, and beyond the scope of this Section, please contact us at [email protected]. Please note that such requests may not be eligible under the Platform Policies, however, without prejudice to the Platform’s rights, may be considered in good faith on a case-to-case and non-precedential basis. Such requests may be accepted or declined at the Platform’s sole discretion. The users agree and acknowledge that the Platform reserves full rights to decline such requests.29. GENERAL
29.1. You agree that no joint venture, partnership, joint controllership, employment or agency relationship exists between you and Nox as a result of these Terms or your use of the Services. The Terms constitute the entire agreement between you and Nox with respect to your use of the Services. The failure of Nox to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.
29.2. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
29.3. You may not assign, delegate or otherwise transfer your account or your obligations under a Pact that you joined or created, or these Terms without the prior written consent of Nox. Nox has the right, in its sole discretion, to transfer or assign all or any part of its rights under these Terms and will have the right to delegate or use third party contractors to fulfil its duties and obligations under these Terms and in connection with the Services.
29.4. Nox’s notice to you via email, regular mail or notices, posts, or links on the Services shall constitute acceptable notice to you under the Terms.
29.5. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
29.6. Section titles and headings in the Terms are for convenience only and have no legal or contractual effect. Any rights not expressly granted herein are reserved.
29.7. Notwithstanding anything contained in these Terms or any other Platform Policies, but subject to applicable law, Users agree and acknowledge that if no financial transaction has been initiated by the User for a period of 12 (twelve)] consecutive months from the date of last joining a Pact, or where any Nox points in a user’s in-app ledger remain unutilized for a period of 12 months since joining the last pact, the same shall be forfeited by such Users and redeemed by Nox . Furthermore, upon deactivation or deletion of account on the User’s request, any balance Nox points in a User’s in-app ledger at the time of deactivation/closure of a user account shall also be forfeited by such Users and redeemed by Nox. Details regarding such return of Nox Points and consequent rewards shall be dealt with in the Refund Policy.
30. MODIFICATION OF THE TERMS AND SERVICES
30.1. Certain provisions of the Terms may be supplemented or superseded by expressly designated legal notices or terms located on particular pages on the Services. Nox reserves the right to update the Terms at any time and for any reason in its sole discretion.
30.2. Nox will notify you in advance of any material changes to the Terms. By continuing to access or use the Services after we have provided you with notice of a modification, you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Services.
30.3. Nox and its third-party service providers may make improvements and/or changes in the Services, products, services, mobile applications, features, programs, and prices described at any time and for any reason in its sole discretion. For example, the mobile application may download and install upgrades, updates and additional features in order to improve, enhance, and further develop the Services. Nox reserves the right at any time to modify or discontinue, temporarily or permanently, the Services or any portion thereof with or without notice. You agree that Nox shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

To create a nox pact, users must purchase Nox points where 1 point = 1 INR. Users may create a pact worth any number of points that are in their account.Nox charges between 2-15% of financial stakes placed on monetary pacts as commission.This is dynamic and decided case-by-case based on the type of pact, amount pooled and the type of user.

Cancellation & Refund Policy

Refund Policy
This Refund Policy (Policy) is a part of the Platform Policies of Nox (Platform), owned and operated by [Mowgli Brothers Studios Private Limited] (Company) and accessible via https://www.app.nox.today/ and https://www.nox.today/. Please read this Policy carefully before registering on the Platform.
By registering on the Platform and using our Services, you expressly acknowledge that you have read and understood this Policy and agree to be bound by its terms. If you disagree with the terms outlined in this Policy, you are advised to discontinue accessing and/or using this Platform immediately. Please note that any transactions which may have occurred prior to such discontinuation/termination shall be governed by the terms of this Policy along with other Platform Policies.
All aspects pertaining to Nox points, Platform pacts and cancellation thereof, closure of user accounts are governed by the Platform’s Terms and Conditions. This Policy deals with the following:
1. User inactivity:
1.1 Nox points committed by a user for creating or participating in a pact may be returned to the user’s in-app ledger in case of cancellation of the pact by the Platform for instances specified in the Cancellation of a Pact Section of the Terms and Conditions.
1.2 (i) Subject to the Platform Policies, the Platform may reach out to a user in case of:
• any balance Nox points in a user’s in-app ledger at the time of deactivation/closure of a user account; or
• where any Nox points in a user’s in-app ledger remain unutilized for a period of 12 (twelve) months since joining the last pact. In this case, users would be given the option to either (i) utilize their Nox points on the Platform; or (ii) request a buy-back of balance Nox points by the Company and transfer of applicable proceeds to the user’s source account; or (iii) proceed for closure of their user account followed by a buy-back and transfer of applicable proceeds as indicated above. Following such buy-back of Nox points, the Company shall affect transfer of applicable proceeds subject to necessary deductions as indicated under Clause 1.5 below, into the source account/designated bank account of the user as per Company records. It is herein clarified that, ‘buy-back’ of Nox point does not include any Nox points that were re-converted from Rewards or provided as bonus by Nox but rather applies only to fresh Nox points which have not been used for any other purpose whatsoever. Users must communicate their decision to the Platform at [email protected] within a period of 15 (fifteen) days from such intimation of such unutilized Nox points. Failure to respond within the specified fifteen (15) day window shall be deemed as a waiver by the User of any right to redeem or seek compensation for such unutilized Nox Points. The Platform shall not entertain any requests, claims, or grievances related to the buyback of those Nox Points after the expiry of the fifteen (15) day period, under any circumstances. Users are therefore advised to act promptly upon receiving such communication, as no exceptions or extensions shall be granted once the buyback period has lapsed.

(ii)In case transfer of applicable proceeds is sought, the user would be required to undergo a KYC verification, comprising their identity and bank account verification, including submission of user’s PAN card and bank account details. Upon verification and satisfaction thereof, the Company shall process such request.
(iii) In this regard, please note that refund of any balance in the in-app ledger by way of cash withdrawal is not permitted. The Company shall affect an online transfer of applicable proceeds to the user’s source account/designated bank account within a reasonable period of time. Any transfer of applicable proceeds into a user’s bank account shall not amount to a cash refund or withdrawal. Users agree that transfer of applicable proceeds remains subject to their compliance with the Platform Policies and applicable laws and that Platform’s decision shall be final in this regard.
1.3 In case of closure of a user account by the Platform due to any instructions received from any government or regulatory authority to do so, the Company will initiate a buy-back as indicated above and transfer applicable proceeds into the user’s source account/designated bank account, subject to applicable deductions and Platform Policies.
1.4 Users agree that any unutilized bonus Nox points/incentives in a user’s in-app ledger shall stand forfeited when a user account is closed.
1.5 Accordingly, any transfer affected by the Company to a user under this Policy shall be subject to and processed after applicable deductions, including but not limited to incentives/bonus points (if any) awarded to a user, applicable Platform charges and taxes, including GST on deposit, amongst others, as may be applicable.
2. Refund Conditions:
2.1 Users are advised to carefully review all details while purchasing Nox points. A confirmed transaction is final and cannot be reversed.
2.2 Requests for refund of monies will only be processed in case of unauthorised or erroneous deduction of user monies while attempting purchase of Nox points, subject to the following:
• If a user has been charged more than once for the same amount of Nox points; or if a user has received insufficient Nox points against the amount paid i.e. the exact quantum of Nox points purchased by a user does not reflect in their in-app ledger even after a period of 3 (three) days from such transaction; and
• If payment towards such Nox points has been received by the Platform; and
• Such refund request has been raised made within 24 (twenty-four) hours of such transaction. Provided however it is clarified that in the case of insufficient Nox points, such 24 (twenty-four) hour period will be calculated from the conclusion of the third day from the date of such transaction.
2.3 All users are advised to check their Nox points balance on the Platform regularly to ensure they have received the requisite quantum of Nox points upon purchase.
2.4 All refund requests are subject to review and inspection by the Platform in accordance with Platform Policies. Upon due satisfaction, the Platform will process the refund request and issue a refund to the user, subject to applicable deductions, if any.
2.5 In case of any other request for refund not fulfilling the eligibility criteria listed above under Clause 2.2, and beyond the scope of this Policy, please contact us at [email protected]. Please note that such requests may not be eligible for refund under this Policy, however, without prejudice to the Platform’s rights, may be considered in good faith on a case-to-case and non-precedential basis. Such requests may be accepted or declined at the Platform’s sole discretion. The users agree and acknowledge that the Platform reserves full rights to decline such requests.
2.6 All refund requests shall remain subject to and be governed by the provisions of the Terms and Conditions and other Platform Policies in addition to this Policy.
3. General conditions:
3.1 The users are responsible to regularly visit the Platform to remain informed of the terms of this Policy.
3.2 Please note that all financial transactions pertaining to your user account are processed through third-party payment gateways. These gateways control transaction approval or denial, with their terms and conditions governing such actions. Accordingly, the Platform is not liable for any transaction denial by any third-party payment gateway.
3.3 The Platform will not be responsible to any user for any issues beyond its control, including but not limited to internet connection inconsistency, service outage, power outage, malware attack, viruses, computer malfunction, natural disasters, or other unforeseeable failures, etc. By using our Services, you acknowledge and accept that the Platform is not liable for any losses incurred by a user vis-à-vis their purchase, refund request, participation in a pact or accessing any other feature/Service offered by the Platform, amongst others.
3.4 Accounts of users with repeated or serial refund requests may be subject to increased scrutiny and may face restrictions on future transactions until such pattern is satisfactorily addressed in the sole discretion of the Platform.
4. How to apply for and receive your refund
4.1 To apply for a refund/cancellation of transaction, the user must submit the refund request with all necessary details and proof of fulfilling the aforesaid eligibility criteria to our Customer Care and Support Team by sending an email to [email protected].
4.2 Review and verification: Upon receipt of a refund request, such request will be duly addressed and inspected by the Platform. The Platform may contact you for any information or verification, if required. Users agree that the Platform reserves the right to review and determine at its sole discretion if a request is eligible for refund in accordance with this Policy, other Platform Policies and applicable laws. Once the request has been approved and sent for processing, we will send you an email to notify you thereof.
4.3 The approved refunds will be processed using the same payment method and to the same account details through which a user purchased the said Nox points. If unable to process by the same mode through which payment had been made, the Platform will notify the user of an alternate payment mode for processing refund.
4.4 All approved refunds shall be made not later than 15 (fifteen) working days from the date of acceptance of the refund request. You may contact our Customer Care and Support Team if the refund has not been received within the aforesaid timeline.
5. Policy Updates
This Policy is effective as of 30 May 2025. The Policy may be periodically reviewed and revised. The revised terms shall be uploaded on the Platform. Users are required to review this Policy regularly for any updates. You agree that your continued use of Platform services after any modifications to this Policy constitutes your acceptance to such modifications.

2.1. Once you provide your personal data and register on the Platform, you retain the right to revoke your consent to the collection, processing, and our use of your personal data provided at any time by submitting a written or electronic request to us on [email protected].
2.2. Upon receipt of a valid revocation request, we shall acknowledge the request within [30] Business Days and cease processing your personal data unless required to retain it under applicable laws. 3.2. Please note that all information is collected basis your informed and explicit consent.3.3. These Privacy Policy terms may be periodically reviewed and revised. The revised terms shall be uploaded on the Platform and shall reflect the modified date of the terms.3.4. Types of Proof Collected
3.4.1. Users may be required to submit evidence demonstrating progress toward their stated goals. Such proof may include, but is not limited to:
a. Images, videos, or audio recordings, or
b. Written statements or digital declarations, or
c. Workout logs, employment letters, or
d. Any other relevant documents as may be specified.
3.5. Submission Frequency and Deadlines
3.5.1. Users may be required to submit proof at specified intervals (e.g., daily, weekly, monthly) before a final deadline, as determined by their selected goal structure.
3.5.2. Interim deadlines may be set for ongoing accountability, and failure to submit proof within the required timeframe may impact goal validation.3.6. Data Retention and Security
3.6.1. Proof submissions are securely stored and retained to facilitate the verification of goal achievement and to maintain platform integrity. Participants must ensure that any and all proofs required to be submitted does not to the extent possible include any personal or sensitive information or data unless the same is mandated under the rules of a Pact.
3.6.2. All proof submissions made by Participants in relation to any completed Pact will be stored and made accessible under the “Track Record” section of the respective Pact. These records are intended to ensure transparency, facilitate retrospective accountability, and support future audits or appeals.
3.6.3. All proofs will remain accessible in perpetuity, subject to Nox’s data retention policies and Applicable Laws. Participants may submit a request for removal of their stored proofs from the Track Record, and Nox may, at its sole discretion, consider such requests on a case-by-case basis. Approval of such removal requests may be contingent upon the closure of any related dispute or audit process.
3.6.4. At present, all submitted proofs are verified manually by designated human Verifiers. In the future, Nox may deploy artificial intelligence (AI) or automated verification systems to assist or supplement the verification process. Regardless, Nox shall ensure that each proof is reviewed by a human Verifier at the current stage. In addition to the assigned Verifier, authorized Nox administrators may access, and review submitted proofs where necessary to facilitate operational efficiency, resolve bottlenecks, monitor quality, or address disputes. All such access shall be governed by strict internal protocols to ensure privacy, integrity, and confidentiality of Participant data.
3.6.5. Users retain control over their submitted proof and may request deletion of their data, subject to compliance with applicable laws and Nox’s data retention policies.
3.7. Sharing and Confidentiality
3.7.1. Proof submissions are made visible to the Participants of the Pact along with the Verifier of the Pact (if applicable) by default to peruse and also for the verification of evidence and for any other purposes such as but not limited to a dispute as stated in our Terms and Conditions. Additionally, proofs of pacts can be viewed by members of Groups or Communities that such Pacts are tagged to.
3.7.2. Nox does not sell or share proof submission data with third parties, except where required by law or with prior user authorization.
3.8. By continuing to use Nox, you consent to the collection and processing of proof submission data as outlined in this Policy.4. HOW THE COLLECTED INFORMATION IS UTILISED
4.1. By accessing and using the Platform and its Services, you hereby acknowledge and consent to Nox’s use of your data, including, but not limited to, your interactions, submissions, preferences, and engagement patterns for the purpose of improving and enhancing the functionality and performance of the Platform.
4.2. The personal information that you are asked to provide may be used for the following purposes:
4.2.1. Administration of the Platform.
4.2.2. To improve and enhance the Platform based on your preferences and usage in order to constantly improve your browsing and user experience.
4.2.3. To send you general or promotional communications, including email notifications, if you have provided explicit consent to receive them. You retain the right to withdraw your consent at any time by contacting us or by unsubscribing to such communications.
4.2.4. To verify your identity, maintain accurate records, and ensure compliance with the Platform’s Terms, Policies, and applicable laws.
4.2.5. To address and resolve any inquiries or complaints you submit through the Platform.
4.2.6. To uphold the security of the Platform and implement measures to detect and prevent fraudulent activities in line with the Platform’s Policies.
4.2.7. To facilitate your access to and use of the services offered on the Platform.
4.2.8. To monitor compliance with the Platform’s Terms and Conditions/Policies and of applicable laws and regulations.
4.2.9. To conduct internal research aimed at developing new features, optimizing user experience, and enhancing the overall effectiveness, fairness, and usability of the Platform and its services.
4.2.10. To train machine learning and artificial intelligence (AI) models that may be used to assist in verification processes, detect anomalies or suspicious behaviour, improve user experience, and automate administrative functions.
4.2.11. To develop and refine analytical tools and models that provide customized recommendations of Pacts, challenges, or activities tailored to your past behaviour, performance trends, and interests, thereby personalizing your experience on the Platform
4.3. We reserve the right to conduct security reviews at any time through modes including but not limited to KYC, VKYC verification processes, to verify your identity, age, registration details, and usage of the services provided on our Platform for compliance with our Terms and Conditions and applicable laws.4.4. By accessing and using our Platform, you consent to our employees, agents, and/ or service providers using and disclosing that information which is required to be divulged to third-parties due to the necessity to validate the information provided.4.5. Any and all data collected from you is merely collected, processed and handled by the Platform. The end user is considered the rightful owner of their personal data, while the Platform merely acts as a custodian or fiduciary of the data without any rights to own such data. We do not market or sell any personal information for monetary gain.4.6. All such use of data shall be compliant with applicable data protection laws and subject to the terms outlined in the Platform’s Privacy Policy. Personal data shall not be sold to third parties, and adequate safeguards shall be implemented to ensure data anonymization, security, and integrity during all stages of processing.4.7. Nox may analyse any historical and ongoing Participant submitted data including but not limited to user habits, activity logs, proof submissions, photos, videos, and engagement patterns for the purpose of improving the functionality, performance, and effectiveness of the Pacts, Services and Platform. Such analysis may involve the use of advanced methodologies, including machine learning and artificial intelligence (AI), to derive insights, test new features, and enhance user experience. Where applicable, this may include the training of proprietary or third-party AI models. All data used for research and development will be anonymized and aggregated prior to use, ensuring that no personally identifiable information (PII) is included in such analysis or shared with third parties unless we have obtained your explicit and informed consent to do so. By using the Platform, you consent to the use of your non-identifiable data for such purposes. Should Nox seek to utilize identifiable information for research, AI training, or external collaboration, we will request and obtain your express written consent in advance, in compliance with applicable data protection laws and the Nox Privacy Policy.5. DISCLOSING YOUR DETAILS
5.1. Personal or sensitive data collected from your device during your use of our Platform will not be stored, recorded, monitored, or shared unless it is essential for ensuring compliance with applicable laws and regulations and our Platform policies, including but not limited to this Privacy Policy and Terms and Conditions, as updated from time to time.

5.2.1. As required by applicable law, regulation, or legal process;
5.2.2. To establish, exercise, or defend our legal rights, including for the prevention and detection of fraud;

All third-party access and data-sharing arrangements will be subject to confidentiality obligations and appropriate data protection safeguards, and governed by the relevant third party’s privacy and data usage policies, in addition to Nox’s own Privacy Policy.5.5. Nox may share aggregated and anonymized user data with third-party vendors such as our brand collaborators, sponsors, and other commercial partners. Such data may include, but is not limited to general traffic trends, behavioural patterns, responsiveness to features or content, and aggregated performance metrics.5.6. No Personally Identifiable Information (PII), such as your name, contact details, or government-issued identification, shall be disclosed in connection with such data sharing. Where a brand partner sponsors or facilitates a challenge or Pact, that partner may be granted limited access to data voluntarily uploaded by Participants in that specific challenge (e.g., progress updates, completion metrics, non-sensitive user responses).5.7. Furthermore, IP-derived location data may also be used for geo-targeting or to deliver region-specific experiences, offers, advertisements or content. Commercial partners may use this aggregated data to design better engagements, analyse participation trends, or run promotional campaigns that enhance user interaction on the Platform.5.8. Nox may engage third-party vendors and service providers for certain functions, including but not limited to analytics, marketing optimization, feature development, and user experience improvement. For these purposes:
5.8.1. Certain user data may be shared with third-party analytics platforms or similar tools to understand usage patterns, troubleshoot issues, enhance feature performance, and improve service delivery.
5.8.2. These service providers operate under strict contractual obligations to protect your data, ensure confidentiality, and limit use exclusively to internal processing and analysis purposes as instructed by Nox.
5.9. Continued access and use of the Platform and its Services constitutes your agreement and consent to such data-sharing arrangements. Where required by law, or where the nature of the data or jurisdiction demands, Nox will obtain additional specific consent before initiating such sharing.

Additionally, where you have voluntarily connected your Nox account to external platforms or devices—such as fitness trackers, health monitoring apps, or other partner services (e.g., Fitbit, Apple Health, or Google Fit)—you authorize Nox to access and retrieve relevant data from those platforms for the purposes of syncing your progress, verifying activity within a Pact, or enhancing personalization features. This access will be maintained only for as long as the integration remains active and can be revoked by you at any time through your user settings.6. SECURE YOUR INFORMATION
6.1. The Platform takes appropriate security measures to prevent unauthorized access, loss, misuse, or alteration of your personal data. Information provided by you is securely stored, and data processing activities are conducted in compliance with applicable security standards to ensure data protection.
6.2. As provided hereinabove, we shall ensure all reasonable safeguards are implemented for the protection of your personal data in accordance with relevant industry standards and practices. However, it is pointed out that the Platform cannot be held liable for breaches or unauthorized access resulting from third party cybersecurity incidents that may not be attributable to the Platform either directly or indirectly. While we strive to engage reputed security service providers to safeguard your personal data, we cannot guarantee the absolute security of the online system. Furthermore, you acknowledge that no data transmission over the internet or electronic storage system can be guaranteed to be completely secure. Accordingly, while Nox strives to protect your information using industry-standard practices, we cannot and do not guarantee absolute security.6.3. In the event that we become aware of any actual or suspected data breach involving your personal information, we may notify affected users promptly using electronic means, such as emails, in-app notifications, or Platform alerts. You may also request to receive such notifications in written form by contacting us through the details provided in the “Contact Us” section of these Terms. Furthermore, we shall take prompt action to mitigate risks, notify the affected Users as mandated under applicable law, and coordinate with the relevant service provider to address vulnerabilities. By using our services, you acknowledge and agree that our liability is limited to the extent permitted by law in such instances.6.4. By registering on the Platform and agreeing to these terms, you acknowledge that while we take stringent security measures, the transmission of data over the internet carries inherent risks. We cannot guarantee absolute security against unauthorized access, hacking, or data breaches that may arise due to factors beyond our reasonable control.6.5. The Platform may contain links to external websites, which are subject to their own privacy and security policies. We do not control or assume responsibility for the data practices of such third-party websites. Participants have the right to request a copy of their personal data maintained by Nox. Such requests must be submitted via email to the contact address provided in the “Contact Us” section of these Terms. Upon receipt of a valid request, Nox will process and provide the requested data in a structured, commonly used, and machine-readable format within a period of thirty (30) days, unless a longer period is required under applicable law or due to exceptional circumstances, in which case the user will be duly informed.
8. INVITATION TO NOX
Participants may invite others to join the Platform through available features such as phonebook synchronization, social media integration, or personalized invite links. By using these functionalities, you expressly represent and warrant that you have obtained the prior consent of each individual whose contact information you provide or upload for the purpose of sending an invitation. Nox disclaims any liability arising from the unauthorized use or sharing of third-party contact information. All invited users who sign up through such invitations shall be deemed to have accepted and agreed to be bound by these Terms and Conditions and Nox’s Privacy Policy and other Platform policies upon registration and use of the Platform.
9. MISCELLANEOUS

ALL PARTICIPANTS OF A CERTAIN PACT ARE EXPECTED TO JOIN OR CREATE ONLY THOSE PACTS FOR WHICH THEY POSSESS A GENUINE INTENTION AND REALISTIC ABILITY TO FULFIL THE ASSOCIATED COMMITMENTS. RECKLESS, UNSERIOUS, OR KNOWINGLY UNACHIEVABLE PARTICIPATION HARMS THE OVERALL EXPERIENCE AND INTEGRITY OF THE PLATFORM. USERS FOUND TO BE ENGAGING IN FRIVOLOUS OR BAD-FAITH CONDUCT MAY HAVE THEIR ACCESS TO THEIR ACCOUNT SUSPENDED OR TERMINATED AT THE SOLE DISCRETION OF NOX

2.1. While accessing the Services as provided on the Platform, the Participant must:
2.1.1. Comply with Indian laws, including the Information Technology Act, 2000, the Indian Penal Code, and the Digital Personal Data Protection Act, 2023.
2.1.2. Respect intellectual property rights—do not share, copy, or distribute unauthorized content.
2.1.3. Engage in challenges responsibly, ensuring fair play and ethical participation.
2.1.4. Maintain civility and ensure that there is no harassment, threats, hate speech, or bullying.
2.1.5. Ensure content shared is appropriate, avoiding misinformation, explicit material, or anything harmful to individuals or communities.
2.1.6. Uphold privacy standards—no doxxing, unauthorized sharing of personal data, or surveillance of others.
2.1.7. Use strong security practices, such as safeguarding login credentials and enabling two-factor authentication where available.
2.1.8. Avoid hacking, phishing, or unauthorized access to Nox systems or others’ accounts.
2.1.9. Report security vulnerabilities responsibly, rather than exploiting them.
2.2. While accessing the Services as provided on the Platform, the Participant must not:
2.2.1. engage in illegal activities as is mentioned in the Terms and Conditions policy .
2.2.2. use any kind of bots or automation to manipulate engagement or bypass platform security.
2.2.3. disrupt Nox services through hacking, DDoS attacks, or malicious software.
2.2.4. impersonate others or create fake accounts for deceptive purposes.
2.2.5. create any challenge that violates local, national, or international laws.
2.2.6. create any Pacts that encourage illegal drug use, underage drinking, or gambling beyond legally permissible limits or any activities involving fraud, deception, or any attempt to manipulate the platform or third-party verifiers.
2.2.7. create any Pact that contains Self-harm or extreme risk-taking behaviours, including but not limited to starvation, over-exercise beyond safe limits, and extreme dieting.
2.2.8. create any Pact that requires dangerous physical stunts, reckless driving, or any challenge that puts users or others at significant risk of injury or death.
2.2.9. engage in any activities involving weapons, explosives, or hazardous materials.
2.2.10. create or join Pacts that promote bullying, harassment, or any form of abuse—physical, verbal, or psychological.
2.2.11. participate in Any challenge that involves non-consensual activities or exploitation of minors or vulnerable individuals.
2.2.12. participate in any challenges that encourage violence, hate speech, discrimination, or any form of social harm.
2.2.13. create or join any Pacts with fraudulent intent, including attempting to deceive verifiers or falsifying proof submissions.
2.2.14. use multiple accounts to manipulate challenges or bypass platform rules.
2.2.15. engaging in money laundering, pyramid schemes, or any other financial fraud through the Nox platform.
2.2.16. Upload proof that contains private or sensitive information of others without their explicit consent.
2.2.17. Share explicit or inappropriate content, including nudity, sexually suggestive material, or violent imagery.
2.2.18. use AI-generated or manipulated media to falsify proof submissions.
2.2.19. create or join Pacts that promote excessive or exploitative labor, unpaid work, or servitude.
2.2.20. take part in challenges that involves unethical treatment of animals, including animal cruelty or forced participation of pets in challenges.
2.2.21. take part in challenges that encourage or require public disturbances, vandalism, or trespassing.
2.2.22. exploit technical loopholes or engaging in any form of hacking or manipulation of Nox systems.
2.2.23. spam or mislead other Participants into participating in unfair or questionable pacts.
2.2.24. impersonate Nox staff, verifiers, or other users to manipulate outcomes.
2.3. In addition to the above, Participants of the Pacts provided on the Platform are strictly prohibited from using the Platform for unauthorized commercial purposes. This includes, but is not limited to, promoting third-party businesses, recruiting for multi-level marketing (MLM) schemes, advertising personal or external paid services, or directing users to off-platform monetized programs without obtaining prior written approval from Nox administrators.2.4. Furthermore, Participants shall not attempt to bypass or manipulate Nox’s restrictions on the maximum number of concurrent active Pacts as stated in the Terms and Conditions. Any such behaviour including but not limited to account sharing or the use of multiple/fake accounts may result in either suspension of your account or termination of account and removal from existing Pacts and account-level disciplinary action being initiated.2.5. Participants must not engage in any off platform wagering, derivative betting, or informal side betting based on the outcomes of Pacts hosted on Nox. The Platform is not intended for gambling or speculative behaviour, and any such conduct will be treated as a material and irreparable breach of these Terms.2.6. Participants of the Pacts may not submit AI-generated, altered, deepfaked, or synthetic media that misrepresents, impersonates, or manipulates others, or seeks to deceive Verifiers, fellow Participants, or the Platform itself. Nox reserves the right to flag, review, and reject such content, and to take disciplinary action where manipulation is found.2.7. Participants must not engage in any conduct that provides an unfair advantage and violates the intended spirit of a Pact. This includes, but is not limited to, undergoing medical or technological interventions solely to manipulate outcomes; using performance-enhancing drugs or banned substances; faking or fabricating proof submissions; exploiting technical loopholes or device integrations (e.g., spoofing data, auto-logging); or engaging in extreme, unsustainable measures intended to distort genuine effort. Nox may investigate such cases and reserves the right to suspend or permanently ban any Participant found in violation.3. Enforcement & Consequences
